Client Terms, Conditions & Policies

Client Terms Conditions & Policies

Effective Date: September 15, 2026
Last Updated: September 15, 2026
Version: 1.0

These Client Terms, Conditions & Policies (“Terms”) apply to services provided by Local Insight Marketing Agency Ltd. (“Local Insight,” “we,” “us,” or “our”) to our clients (“Client,” “you,” or “your”).

Local Insight Marketing Agency Ltd. is a Cayman Islands company based in Grand Cayman, Cayman Islands.

By signing a contract, accepting a proposal or quotation, approving work, instructing Local Insight to begin services, or paying an invoice, the Client confirms that they have had the opportunity to review these Terms and agree to them.

These Terms apply to all Local Insight clients unless different terms have been expressly agreed in a separate written agreement. Where a signed agreement contains terms that conflict with these Terms, the signed agreement will take priority.

1. Services & Scope

Local Insight provides digital marketing, website, advertising, creative, and related services.

Services may include:

  • Google Ads and YouTube advertising;

  • Social media management and content creation;

  • Social media advertising;

  • Website design and development;

  • Website hosting and maintenance;

  • Search engine optimization (SEO);

  • Google Business Profile services;

  • Email marketing;

  • Blogging and content creation;

  • E-commerce services;

  • Digital strategy and consulting; and

  • Other services agreed upon with the Client.

The specific services, deliverables, fees, timelines, and scope will be outlined in the applicable proposal, quotation, invoice, contract, or statement of work.

Work requested outside the agreed scope may be treated as additional work and may result in additional charges.

2. Fees & Payments

Ongoing Services

Ongoing services are generally billed in advance.

Unless otherwise stated in the Client’s agreement:

  • Invoices are issued on or around the 20th of the month;

  • Payment is due by the 26th; and

  • Services for the following month begin on or around the 1st.

The payment terms stated on the applicable invoice or agreement will take priority if different.

Project Services

Project-based services may require a deposit before work begins. The amount of the deposit will be stated in the applicable proposal or contract.

Project deposits are non-refundable, except where Local Insight agrees otherwise in writing or where a refund is required by applicable law.

3. Late Payments & Suspension

Local Insight understands that payment delays can occasionally happen and will generally make reasonable efforts to contact the Client regarding overdue invoices.

However, payment remains the Client’s responsibility.

If an account becomes overdue, Local Insight may:

  • Send payment reminders;

  • Suspend or pause services;

  • Pause advertising campaigns;

  • Withhold delivery of work;

  • Suspend website hosting or maintenance where applicable;

  • Terminate services; and/or

  • Pursue amounts owed in accordance with the applicable agreement and applicable law.

Local Insight reserves the right to charge a reasonable late-payment fee on overdue balances where permitted by applicable law. Whether a late fee is applied may be determined on a case-by-case basis.

Continuing to provide services while an account is overdue does not waive Local Insight’s right to collect outstanding amounts.

4. Fixed-Term Agreements

Some services may be provided under a fixed-term or minimum-term agreement, such as a twelve (12) month agreement.

The applicable contract will state any minimum service period or commitment.

If a Client fails to make required payments under a fixed-term agreement, Local Insight may continue providing services for a reasonable period while attempting to resolve the account.

If an account remains unpaid for approximately three (3) months, Local Insight may suspend or terminate the services and may request payment of amounts due under the applicable agreement, subject to the agreement and applicable law.

Local Insight may, at its discretion, agree to an alternative cancellation, settlement, or early-termination arrangement with a Client.

5. Cancellation & Termination

Unless otherwise stated in the Client’s agreement, ongoing monthly services generally end at the close of the current billing period.

Cancellation requests should be made in writing by email or another agreed written communication method.

Payments for the current billing period are generally non-refundable. Where appropriate, Local Insight may provide a credit toward future services instead of a cash refund.

For fixed-term agreements, cancellation remains subject to the terms of the applicable agreement.

Local Insight may also terminate a Client relationship where appropriate, including for non-payment, repeated unreasonable conduct, abuse, requests for unlawful or unethical activity, material breach of an agreement, or a breakdown in the professional working relationship.

Where Local Insight terminates an ongoing service for its own business reasons and the Client has prepaid for services that have not yet been provided, Local Insight will generally refund or credit the applicable unused service amount.

6. Project Cancellations

If a Client cancels a project after work has commenced:

  • The applicable project deposit will be retained;

  • Local Insight will generally not require payment of the remaining unpaid project balance solely because the Client cancelled;

  • The Client remains responsible for approved third-party expenses or costs already incurred on the Client’s behalf; and

  • Any transfer or delivery of files may be subject to applicable outstanding amounts or handover fees.

7. Client Responsibilities

The Client agrees to provide Local Insight with the information, materials, access, instructions, feedback, and approvals reasonably required to perform the services.

The Client is responsible for ensuring that information supplied to Local Insight is accurate, complete, current, and lawful.

This includes information such as:

  • Business names and contact information;

  • Prices;

  • Products and services;

  • Promotions;

  • Dates and times;

  • Website information;

  • Images and videos;

  • Claims made in advertising; and

  • Other factual business information.

The Client is also responsible for obtaining any necessary permissions, licenses, releases, or rights for materials provided to Local Insight.

8. Approvals & Communication

Local Insight may provide content, advertisements, designs, websites, social media posts, emails, or other materials for Client review and approval.

Approvals and instructions provided by email, WhatsApp, or another agreed written communication method may be treated as written Client approval or instruction.

Clients will generally have three (3) to five (5) business days to review materials and provide feedback, unless otherwise agreed.

For services involving ongoing or scheduled publication, if the Client does not provide reasonable objections or requested changes within the applicable approval period, Local Insight may proceed with publication based on the materials provided.

Once the Client approves material, the Client is responsible for reviewing the factual accuracy of that material.

Local Insight is not responsible for errors or inaccuracies that were reasonably identifiable from materials reviewed and approved by the Client.

9. Client Delays

Project timelines depend on the Client providing required information, access, feedback, and approvals on time.

If the Client delays a project or service by failing to provide required materials, information, access, or approvals, Local Insight may adjust the delivery timeline accordingly.

If a project remains inactive for an extended period due to Client delays, Local Insight may place the project on hold. Resuming the project may be subject to Local Insight’s availability, revised timelines, and additional fees where applicable.

10. Website Design, Ownership & Hosting

Local Insight retains ownership of the website development files, source files, code, templates, frameworks, development systems, and other materials created or used by Local Insight in the design and development of a Client website, unless otherwise agreed in writing.

The Client retains ownership of its own business information, trademarks, logos, photographs, videos, written content, product information, customer information, and other materials supplied by or belonging to the Client.

The Client may use the completed website for its business while the website services remain active and paid for.

If the Client wishes to move the website to another hosting provider or developer, Local Insight may provide the applicable website files and materials through a website transfer process.

A website transfer fee will apply. Local Insight may determine the transfer fee as either:

a fixed fee, based on the size, complexity, functionality, and work required to prepare the website for transfer; or
an hourly fee of CI$150 per hour, based on the actual time required to prepare, organize, package, document, and transfer the applicable files and materials.

Local Insight will determine which pricing method is appropriate for the particular website and transfer request.

Where a fixed transfer fee is quoted, the Client will be advised of the fee before the transfer work begins.

All applicable transfer fees and outstanding amounts owed to Local Insight must be paid before the website files are released or transferred, unless otherwise agreed in writing.

Website hosting and maintenance may be provided as part of a Local Insight service plan or purchased separately on an annual basis.

If hosting or maintenance fees remain unpaid for three (3) months, Local Insight may suspend the website and remove it from Local Insight’s hosting environment.

Following suspension or termination, Local Insight may retain the website files for a reasonable period to allow the Client to settle outstanding amounts and arrange a transfer.

Local Insight does not guarantee indefinite storage or retention of website files after services have been terminated, suspended, or transferred.

Any transfer of a website to another hosting provider or developer is subject to the technical requirements of the receiving provider and the availability of the applicable files and third-party services.

11. Advertising Services & Advertising Budgets

Local Insight may manage advertising campaigns through platforms including Google, YouTube, Meta, and other digital advertising platforms.

The Client’s advertising budget is separate from Local Insight’s management or service fees, unless otherwise stated in writing.

Where Local Insight receives advertising funds from the Client and pays the applicable advertising platform on the Client’s behalf, those funds are intended for advertising expenditure and are separate from Local Insight’s service fees.

Advertising performance may be affected by factors including:

  • Advertising budget;

  • Competition;

  • Market conditions;

  • Audience behavior;

  • Platform algorithms;

  • Platform policies;

  • Creative materials;

  • Offers and pricing;

  • Website or landing-page performance;

  • Seasonality; and

  • Other factors outside Local Insight’s reasonable control.

Local Insight does not guarantee a specific number of clicks, leads, sales, conversions, revenue, return on advertising spend, or other commercial result.

Advertising expenditure is a marketing investment and does not guarantee a particular financial return.

12. SEO & Marketing Results

SEO and digital marketing performance depend on many factors outside Local Insight’s control.

Local Insight does not guarantee Google rankings, first-page placement, position #1 rankings, website traffic, leads, sales, or any specific marketing result.

Search engines and advertising platforms may change their algorithms, policies, ranking systems, or functionality without notice.

Any projections, estimates, examples, historical results, or expected outcomes discussed by Local Insight are not guarantees of future performance.

Local Insight agrees to use reasonable professional efforts to provide the services described in the applicable agreement.

13. Social Media Services

Where Local Insight manages social media accounts, the Client authorizes Local Insight to create, schedule, publish, and manage agreed content.

Social media platforms may change their algorithms, policies, features, advertising requirements, account restrictions, or availability at any time.

Local Insight is not responsible for platform outages, account restrictions, suspensions, algorithm changes, policy decisions, or other actions taken by third-party platforms.

14. Content & Client-Provided-Materials

Local Insight may create written, graphic, photographic, video, website, advertising, email, or other marketing content as agreed with the Client.

Local Insight may rely on information supplied by the Client when creating such materials.

The Client represents that it has the necessary rights, permissions, licenses, and authority to provide materials to Local Insight.

This includes logos, photographs, videos, written content, testimonials, music, trademarks, customer information, and other intellectual property.

The Client remains responsible for the legality and accuracy of materials and information it provides.

15. Intellectual Property

Unless otherwise agreed in writing, Local Insight retains ownership of its pre-existing intellectual property, including its templates, systems, processes, strategies, workflows, reusable code, software, methods, and know-how.

Ownership of final Client-specific deliverables will be determined by the applicable agreement.

Where ownership is transferred to the Client, the transfer may be conditional upon full payment of all amounts owed for the applicable work.

16. Third-Party Services & Subcontractors

Local Insight may use employees, contractors, freelancers, specialists, software providers, hosting providers, advertising platforms, and other third-party service providers to deliver services.

Third-party platforms and providers may have their own terms, fees, policies, security requirements, limitations, and service interruptions.

Local Insight is not responsible for changes, outages, restrictions, or failures caused by third-party providers outside Local Insight’s reasonable control.

17. Communication & Support

Local Insight will make reasonable efforts to respond to Client communications during normal business hours.

Unless specifically included in the applicable agreement, services do not include:

  • 24-hour support;

  • Emergency support;

  • Unlimited revisions;

  • Unlimited consultations;

  • Unlimited communication; or

  • Work outside the agreed scope.

WhatsApp and email may be used for routine communication, approvals, and instructions, but they do not create an obligation for Local Insight to provide immediate or 24-hour support.

18. Conidentality & Privacy

Each party agrees to keep confidential information received from the other party confidential and to use it only for legitimate purposes related to the business relationship.

Local Insight may collect and process information reasonably necessary to provide services, communicate with Clients, process payments, manage accounts, and operate its business.

The Client is responsible for ensuring that personal information provided to Local Insight may lawfully be collected, used, processed, and shared for the relevant purpose.

Where a particular project requires additional privacy or data-processing terms, the parties may enter into a separate written agreement.

19. Portfolio & Marketing Use

Unless the Client expressly requests otherwise in writing, Local Insight may identify the Client as a customer and display completed work in its portfolio and marketing materials.

This may include:

  • Website screenshots;

  • Social media content;

  • Advertisements;

  • Designs;

  • Websites;

  • Campaigns;

  • Case studies; and

  • Other work created by Local Insight.

Local Insight will take reasonable care not to disclose confidential or private Client information as part of such use.

20. Refunds & Credits

Unless otherwise stated in writing:

  • Project deposits are non-refundable;

  • Advertising expenditure already spent or committed is generally non-refundable;

  • Third-party fees may be non-refundable;

  • Completed work is generally non-refundable; and

  • Ongoing service payments are generally non-refundable once the applicable billing period has commenced.

Where Local Insight determines that a refund or adjustment is appropriate, Local Insight may provide a credit toward future services instead of a cash refund.

Nothing in these Terms excludes any refund or remedy required by applicable law.

21. Liability

To the fullest extent permitted by applicable law, Local Insight will not be responsible for indirect, incidental, consequential, special, or punitive losses, including loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings arising from the services.

To the fullest extent permitted by applicable law, Local Insight’s total liability arising from a particular service will be limited to the amount actually paid by the Client to Local Insight for that service during the applicable period.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

22. Client Indemnification

To the extent permitted by applicable law, the Client agrees to indemnify Local Insight, its directors, employees, contractors, and service providers against claims, losses, liabilities, damages, costs, and reasonable expenses arising from:

  • Materials supplied by the Client;

  • Information or instructions provided by the Client;

  • The Client’s products or services;

  • The Client’s business practices;

  • Unauthorized use of third-party materials;

  • The Client’s violation of third-party rights;

  • The Client’s unlawful use of the services; or

  • The Client’s breach of these Terms or an applicable agreement.

23. No Professional Advice

Local Insight provides digital marketing and related services.

Unless expressly agreed otherwise, Local Insight does not provide legal, tax, accounting, financial, medical, regulatory, or other professional advice.

The Client remains responsible for ensuring that its business, advertising, website, promotions, claims, content, and practices comply with applicable laws and regulations.

24. Force Majeure

Local Insight will not be responsible for delays or failures caused by circumstances outside its reasonable control, including internet or telecommunications failures, platform outages, cybersecurity incidents, natural disasters, government actions, infrastructure failures, third-party provider failures, or other similar circumstances.

Local Insight will make reasonable efforts to resume services when circumstances permit.

25. General Terms & Governing Law

These Terms and agreements between Local Insight and the Client will be governed by and interpreted in accordance with the laws of the Cayman Islands, unless another governing law has been expressly agreed in writing.

The parties agree to make reasonable efforts to resolve disputes through direct communication before commencing formal legal proceedings.

Where a dispute cannot be resolved informally, the parties submit to the jurisdiction of the courts of the Cayman Islands, subject to applicable law and any dispute-resolution provisions contained in a separate written agreement.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

Local Insight may update these Terms from time to time. The version applicable to a Client relationship will generally be the version incorporated into or accepted as part of the applicable agreement.

Client Acknowledgement

By signing a contract, accepting a proposal or quotation, approving work, instructing Local Insight Marketing Agency Ltd. to commence services, or paying an invoice, the Client acknowledges that they have had the opportunity to review these Client Terms, Conditions & Policies and agree to be bound by them.
